1.0 | DESIGN SCOPE OF WORK

IDG will fulfil the agreed scope of work outlined in the design proposal, quote, or purchase request. The scope excludes services provided by external professionals, including architectural, plumbing, electrical and engineering, regardless of whether it is laid out in the scope of work. It may include modifications or alterations to structural elements, plumbing systems, electrical systems, or HVAC systems if laid out in the scope of work. Any services or requests outside of the agreed scope may require a change order and may incur additional fees. Once items have been agreed and subsequently purchased , they may not be refundable if changes are made. If the items are in current inventory there may be an opportunity to swap these. Any changes or modifications made to the purchase / work order agreements may require a change order and further fees may be applied.

2.0 | DRAWINGS

A. Schematic drawings (proposed plans, furniture layout, etc.) where required, IDG will provide drawings to assist with the design process. The drawings are conceptual and serve as a design concept only. It is the responsibility of the client to ensure that they provide accurate information to the designer. All drawings provided to the client by the designer, must not be used for any other purpose other than the design concept.

B. All construction documents (demolition plan, floor plans, elevations, etc.) are to be verified by the general contractor and consultants (architect, engineer, etc.). Site conditions take precedent to drawings.

C. If construction documents are provided, (e.g. demolitions plans, elevations etc.), these must be verified by the General contractor and relevant consultants. Site conditions take precedence over drawings.

3.0 | CONSULTANTS AND CONTRACTORS

IDG may recommend third-party contractors and consultants. These Professional are independent from IDG and should be engaged under separate contracts. IDG does not guarantee or certify a consultant(s) or contractor(s) that are part of the project and cannot be held responsible for their work, materials used, performance, or timelines. IDG will supervise consultants and contractors for conformity to the design concept. Supervision and coordination are subject to project management fees.

4.0 | PROCUREMENT, PRICES FOR MERCHANDISE AND SHIPPING

IDG will place "Purchase Orders" on your behalf, with 100% payment and signed authorization or approval of the quote to enable the IDG team to place the order. Once the order has been placed. Once purchase orders have been placed, IDG will follow with vendor(s) and monitor their progress for delivery and installation. Budget guidelines are encouraged at the conception of any project. The budget will help determine the range of interior elements that will best suit your project. Budget guidelines are not a guarantee of the cost of a project, but IDG will seek to stay within the budget guidelines to achieve your goals. Prices quoted by IDG at the time of consultation may be subject to change by the manufacturer or changes to Tariffs etc. Our team will notify you of any changes when they are brought to our attention. In the event of a price increase we will require your authorization before proceeding with an order. IDG cannot guarantee prices of merchandise, interior installations, or other services not performed by IDG.

All shipping, delivery and processing fees are industry standard and in keeping with the Terms outlined by the Cayman Islands Government Customs and Border Control. They are non-refundable and non-negotiable. Standard delivery includes unpacking assembly, placing and removal of packaging. It does not include the removal of old furniture. If old furniture is to be moved, there may charges associated to this task.

5.0 | RETAIL SALES AND DELIVERY

For in stock items, delivery is expected to occur within 7 - 14 days. If delivery cannot be completed within that timeframe then storage fees may be applied after 30 days at a rate of 5%. For non-retail items, if delivery is delayed at the clients request due to (for example) site conditions for more than 120 days, then storage fees may be applied at 2.5% per item per month.

6.0 | DESIGN FEES

The design fee shall be a fixed and hourly, hybrid structure. IDG shall provide an estimation of hours per design phase and shall notify you in the event that the Design Fee is reasonably likely to exceed that estimate. Interior Architecture services are billed at KYD $200 per hour; Interior Design services are billed at KYD $150 per hour. Project Management fees are billed at KYD $150 per hour.

6.1 Flat fees are paid in three intervals: 25% to secure the project, 50% to start the second phase, which includes sourcing and specifying, and construction documents; 25% upon acceptance of construction documents and to place product orders.

6.2 An invoice under this contract is due upon receipt. Unpaid invoices will bear interest at 5% calculated monthly.

6.3 If (without limitation), this agreement is terminated, put on hold, or delayed before completion of the project due to Change Orders or changes in the ‘Scope of Work’. IDG reserves the right to charge for time spent for the work undertaken at our standard hourly rates.

7.0 | CHANGES AND DEVIATIONS

If at any time you have knowledge of a deviation from specifications or other factors affecting the project, please inform IDG in writing at the earliest, so we can make accommodations. IDG is not responsible for revised timeless as a result of these changes. If changes to the scope of work or installation are required, which may include electrical, plumbing, structural or wall mounting must be agreed in the scope of work. Upon delivery of goods purchased, we will require the space to be ready for installation. Should you require any assistance with clearing the space, our team can assess and apply an hourly rate for the removal of your items.

8.0 | REFUNDS AND RETURNS

Furniture ordered specifically for a project cannot be refunded. For stock purchases, a restocking fee of $150 may be applied to the refund. All returns must be submitted in like new condition including original packaging. A quality review will be undertaken to ensure the condition of the furniture to determine the above. Returns made through IDG delivery service will be subject to a delivery fee of $75. Payments must be made prior to collection and delivery.

9.0 | CLIENT RESPONSIBILITIES

The design process is interactive. Our team will need to communicate with you regularly to ensure the specifications and requirements are being met. Your cooperation is key throughout the project, including access to the project site, prompt attention to documents for approval, and facilitating communications between IDG and other professionals. We may need floor plans, surveys, drawings, or related information from you. If necessary, we will ask you to designate a signatory to act as a liaison on your behalf.

10.0 | OWNERSHIP OF DESIGN

IDG shall retain artistic ownership of all designs, including drawings, renderings, sketches, samples, or other materials prepared by IDG.

11.0 | PUBLICITY

IDG shall have the right to photograph and document the project, which we may use for our portfolio and marketing purposes. IDG will not publicize your name or any specific details relating to the property without prior approval.

12.0 | LIABILITY AND INSURANCE

IDG is not liable to any damages to the property caused by narrow stairways, fragile site conditions, unless due to gross negligence on IDG's behalf. IDG does not provide any additional warranties, unless stated and agreed to in writing. IDG is not responsible for the actions, workmanship, or outcomes of third-party contractors or consultants.

However, IDG does have insurance coverage once products are landed, inspected and in good condition, it is then the clients responsibility. 13.0 | CONFIDENTIALITY

Both parties agree to keep all shared information confidential and not disclose it to any third-party without consent, except as required by law. IDG retains artistic ownership of all design materials, including drawings, sketches, samples and any other creative assets engaged throughout the project. These materials may not be reproduced, distributed, or used beyond the scope of the project without written consent from IDG.

14.0 | FORCE MAJEURE

IDG shall not be liable for delays or failure to perform services due to circumstances beyond its reasonable control, including (but not limited to) weather conditions, labour strikes, supply chain disruptions or acts of God.

15.0 | TERMINATION OF AGREEMENT

This Agreement can be terminated by either party on written notice to the other, without prejudice. IDG has the right to payment of any outstanding invoices and other costs or fees chargeable in accordance with this Agreement. These terms are governed by the laws of the Cayman Islands.
